주식회사의 법인격 및 그를 활용한 재산분리는 주식회사라는 도구의 효율적 활용을 돕기 위해
추가된 기능이다. 만약 적절하지 않게 사용되는 경우 주식회사를 둘러싸고 있는 가상의 막(veil)은
제거될 수 있다. 이러한 제거의 방향은 순방향일 수도 있고(법인격 부인론), 역방향일 수도 있다(법인격 부인론의 역적용). 이 글은 2021년 대법원 판결을 전형적인 법인격 부인론 역적용 법리에 비추어 분석한 것이다.
지배주주의 개인재산만이 문제되는 법인격 부인론에 비해 주식회사라는 조직 자체의 보호가 문제되는 역적용은 더 엄격한 요건 하에서만 이를 인정할 수 있을 것이다. 구체적으로 지배주주의 지배요소(주식회사에 대한 완전한 지배, 주식회사 기관의 형해화, 재산 혼용), 주관적 요소(채무면탈
등 남용목적), 선의채권자 보호, 보충성의 네 요건이 필요하다.
이 사건 판결의 쟁점은 주주의 채무에 대한 책임을 그 피지배회사에 묻는다는 점에서 역적용의
그것과 같다. 다만 대법원은 법인격 부인론의 역적용이라는 새로운 길보다는, 기존 판례 하의 법인격 남용이라는 비교적 안전하고 편한 길을 택한 것으로 보인다. 다만 동일 지배주주가 지배하는
‘P, Q 회사간 재산분리’를 해제하는 기존 판례를 ‘지배주주와 피지배회사 Q간 재산분리’를 해제하는데 그대로 적용한 결과 몇 가지 의문점이 남게 되었다.
첫째로 대가의 공정성 요건이다. 기존 판례에는 타당하나 이 사안에는 타당하지 않다. 기존판례에서 (Q회사로부터 P회사에 지급되는) 대가의 불공정성은 그 대가를 책임재산으로 삼는 기존 (P회
사의) 채권자 피해로 나타나는 반면, 이 사안에서 기존 (지배주주의) 채권자의 피해는 집행용이한 지배주주의 재산이 집행곤란한 비상장주식으로 전환되는 과정 자체에서 발생하기 때문이다. 둘째로
전후 사업의 동일성 요건이다. 이를 지배주주와 피지배회사에 그대로 적용한다면 결국 이 사건 판결이 적용되는 범위는 제한적일 수밖에 없다. 일례로 아무런 사업을 하지 않던 자연인이 채무면탈
목적으로 주식회사를 설립한 경우 이 사건 판결은 적용하기 어렵다.
향후 법원이 해외 논의 등을 참조하여 법인격 부인의 역적용을 전향적으로 수용함이 타당할 것이다. 선의 피해자 보호 등 그 요건을 명확히 설정한다면 조직격리의 예외적 배제에 따른 일반 투자자, 채권자들의 불안정성은 크지 않을 것이다.

Asset partitioning is a basic principle for corporate organization: owner shielding (or
limited liability theorem) protects shareholders’ personal assets from corporate
creditors’ claims; entity shielding prohibits partial dissolution of a corporation by
shareholders’ creditors. (Outsider) Reverse piercing is to remove entity shielding,
benefiting controlling shareholder’s creditors – under reversing piercing scheme,
controller’s creditors may extend their claims to corporate assets. Unlike traditional
piercing jurisprudence, the applicability of reverse piercing has been controversial
both in US and Korea.
In May 2021, the Delaware chancery court explicitly adopted reverse piercing theory
and allowed shareholder’s creditors to charge against corporate assets. The court
imposed very strict requirements: on top of traditional piercing the veil requirements,
the court should take into consideration (i) the other shareholders not responsible for
the conduct of controllers, (ii) public conveniences, (iii) innocent third-party creditors
of the corporation, etc.
In Korea, reversing piercing has been discussed in the context of new entity
incorporation with the assets of debt-ridden firm. What happens, if Z, a controller of
ailing X company, siphoned X’s assets and established Y company, whose business
portfolio and management was just the same as those in X company? The Korean
Supreme Court viewed Y as alter ego of X and repeatedly allowed creditors in X to
extend their claim to Y. While similar in that entity shielding is eliminated, the
jurisprudence above is different from typical reverse piercing: the issue here was
whether a corporation should be responsible for debts of ‘another identical
corporation’ (not for debts of its controller). In 2021 Korea Supreme Court case (2019da293449), an individual set up a close
corporation and transferred his business to it. A business creditor of the individual
raised a lawsuit against the new corporation, arguing the individual abused the legal
personality and the newly established corporation should be subject to reverse
piercing. The Court sided with the creditor, pointing to that the individual did not
receive fair compensation from the business transfer and the new corporation’s
business portfolio and management was just the same as the individual’s prior
business.
This paper agrees with the conclusion that the corporation should be responsible for
the debt of the individual in such a case. However, the logic should be different. The
Supreme Court should explicitly adopt general reverse piercing theory which do not
require fair compensation and the identical business elements. Rather, the Court need
only to focus upon how to protect minority shareholders and creditors of the company
subject to reverse piercing.
