국문초록
본고에서는 시장질서교란행위 규정의 입법적 개선방향에 대해 검토하였다. 자본시장법상 불공정거래규제체계는 이론적 정합성을 따져 마련되었다기보다는 시장상황의 변화에 대응하여 체계를 갖추게 되었다. 이는 시장질서교란행위 규정도 마찬가지이다. 기존 자본시장법상 불공정거래규제체계의 경우 제2차 정보수령자 이후에 대한 처벌, 외부정보 이용자에 대한 처벌, 직무와 무관한 정보이용자에 대한 처벌에 어려움이 있었고, 시세조종과 관련하여 주관적 요건에 대한 엄격한 입증책임으로 인해 처벌이 어려운 사건이 발생하였다. 시장질서교란행위는 이러한 유형들에 대해 형사책임이 아니더라도 과징금의 행정책임을 부과하기 위해 마련된 것이다. 하지만 시장질서교란행위 규정의 입법경위가 순탄하지는 않았다. 2011년 금융위원회에서 일원론적 규제체계에 가까운 입법안을 마련하였으나 정부 내 논의과정에서 무산되었다. 정부의 불공정거래 엄단방침과 CJ E&M 사건으로 말미암아 2014년 시장질서교란행위 규정이 입법화되었으나 학계의 충분한 논의를 거치지는 못하였다. 이로 인해 시장질서교란행위 규정은 불완전한 이원론적 규정체계의 문제, 규정 내 체계정합성 문제, 개별 규정에서의 해석․적용상 문제, 새로운 시장질서교란행위에 대한 대응 문제 등 다양한 문제점을 내포하고 있다. 최근 삼성증권 배당오류 사건은 시장질서교란행위 규정의 문제점을 드러낸 사건이다. 이러한 현행 시장질서교란행위 규정의 문제점은 해석론으로는 해결이 어렵고, 입법적 개선이 필요하다. 방법은 두 가지이다. 제1방안은 일원론적 규제체계로 전환하는 것이다. 이를 위해서는 법 제178조의2를 삭제하고, 기존 제174조 등에 형사처벌 외 과징금을 부과할 수 있도록 하여야 할 것이다. 제2방안은 이원론적 규제체계를 유지하며 불완전한 부분을 해소하는 것이다. 법 제178조를 삭제하고, 법 제178조의2에 일반규정을 두는 방식이 될 것이다. 이 두 방안 중 어느 하나가 낫다고 할 수는 없지만, 이미 법 제178조의2가 입법화되어 상당 기간 적용되어 선례와 판례이론을 만들어가고 있는 점 등을 고려할 때 제2방안도 충분히 가능하다고 생각한다. 다만, 최근 국회에서 불공정거래에 대해 과징금을 부과하는 입법안이 계속되어 논의 중이다. 동 입법안은 제1방안에 가까운 것으로 보이고, 2011년 금융위원회 입법안과 상응하는 점이 있다. 만약, 동 입법안으로 자본시장법이 개정된다면 법 제178조와의 충돌가능성을 고려하여 법 제178조의2를 삭제하는 것이 타당하다. 또한 일원론적 규제체계의 특성상 동일한 행위유형에 대해 형사책임과 행정책임을 구분할 구체적인 위법성 판단기준을 마련하는 것이 필요할 것이다.

In this paper, the direction of legislative improvement for the market abuse rule in FSCMA has been reviewed. The unfair trading regulation has been prepared not along with logical consistency but for market needs. It is also true to the market abuse rule. In the existing unfair trading regulation regime, there ware many legal problems such as punishment of the second tippee, external information user prohibition and strict burden of proof problem for criminal procedure. The market abuse rule in FSCMA was enacted for this kinds of problems.
However the process of enactment for the market abuse rule was not smooth. In 2011, the FSC suggested a proposition of an enactment similar to a monistic regulation system, but it went to pieces under internal discussion of the government. Thereafter, the market abuse rule was enacted in 2014 through the government policy of strict unfair trading regulation and CJ E&M case, but the enactment process was not through sufficient discussion in academia. The market conduct rule clauses has many problems such as imperfect dualistic regulation, systemically illogical consistency among clauses, interpretation and adaptation problem of the detailed regulations and responses to new kinds of market disturbing conducts not expected before. Recent Samsung Securities case was the case revealed a problem of the market conduct rule in FSCMA.
For this issues the market abuse rule has, it is not possible to respond well with interpretation of existing clauses but it needs a legislative improvement. There are two ways to fix these problems. The first option is to switch to the monistic regulation from the dualistic one. For this way, the current section 178–2 should be repealed. The second option is to keep the dualistic regulation with resolving imperfect elements. It will be an abolishment of section 178 and adding a catch all clause to section 178–2. There is no legal preference on these two ways, but considering some circumstances that the section 178–2 was already enacted and applied to the cases which made a kind of case law, the second option would be feasible. However, there is a bill which imposes an administrative sanction to unfair trading under discussion in the congress. This bill is similar with monistic regulation system which was already suggested from FSC in 2011. If the congress passes the bill, considering the potential conflict with existing section 178, the section 178–2 should be repealed. Also, based on the monistic regulation regime, there should be a guideline or a detailed regulations to decide a degree of illegality to choose between criminal punishment and administrative sanction.
