상법상 당사자의 일방적 의사에 따라 주식매매계약이 성립하는 상황은 반대주주의 주식매수청구권, 양도제한주식의 매수, 지배주주의 매도청구권, 소수주주의 매수청구권에서 나타난다. 이 글은 이들 유형들의 유사점과 차이점을 검토하면서 합리적인 개선방향을 도출하고자 하였다.
먼저 기본적 개정방향에 관하여, 종래부터 특정 시점을 정하여 일률적으로 주주지위의 변동시키는 것이 효율적 기업운영 관점에서 바람직하다는 주장이 유력하게 제기된바 있다(전통적인 주주지위설을 채권자지위설로 전환). 위 네 유형 중 특히 반대주주의 주식매수청구권인 경우 전통적인 매매계약 법리보다는 기업구조조정의 특례가 적용되어야 할 필요성이 크다. 채권자지위설로 입법적 개선이 이루어져야 함을 뜻한다. 다만 합병 등의 효력발생으로 주주지위를 박탈당하게 되는 반대주주의 보호장치가 마련될 필요가 있다. 이 관점에서 회사가 제안한 잠정가액이 미리 지급될 것을 전제요건으로 하고, 반대주주에게 충분한 정보접근권 등이 보장되어야 할 것이다.
네 유형 모두 당사자간 가격에 대한 합의 없이 주식매매계약이 성립된다. 기존 주주와 주식매수자 사이에 가치평가가 다를 수밖에 없는바, 이 경우에 다툼 없는 액수에 대하여 일부 공탁을 허용함이 상사거래의 합리성 관점 등을 고려할 때 타당할 것이다.
다음으로 자본시장법의 예에 따라 상법에도 물적분할에 대해 주식매수청구권을 도입한다고 할 때 소규모 분할의 경우 이를 배제하는 특례를 도입할지 문제된다. 다른 소규모 기업구조조정과 비교할 때 이를 부인할 이유는 없는 것으로 보인다. 다만 합병, 영업양수, 주식교환 등 ‘인수형’ 거래와 달리 분할과 같은 ‘분사형’ 거래의 경우 소규모성은 분할주체의 규모와 분사되는 사업의 규모를 비교하여 판단해야 할 것이다.
상법상 주식매수제도는 다양한 쟁점이 얽혀있는 복잡한 영역이다. 위 네 유형이 얽히고 기업구조조정 법제와도 접하고 있어서, 곳곳에서 균형과 형평성 문제가 발생한다. 일률적, 단체적 처리를 선호하는 효율성의 요청과 의사결정 과정에서 소외된 소수주주 보호를 함께 고려하는 조화로운 입법에 이르게 되었으면 하는 바람이다.

The Korean Commercial Code (KCC) stipulates four situations where a share purchase contract is executed by the will of either seller or buyer alone: appraisal remedy by dissenting shareholders; purchase of restricted shares by the corporation; purchase of remaining shares by dominating shareholders having 95%; minority shareholder’s sale of less than 5% shares to dominating shareholders. This paper sought to draw out rational directions for KCC reform by way of examining the similarities and differences of these typologies.
First, the KCC needs to clearly address when the transfer of title is made. Without specific provision under the KCC, the Korean courts have resorted to traditional sale and purchase jurisprudence. Accordingly, a seller (or a shareholder) would not lose their title until the purchaser fully pays the trade amount. This would be reasonable for some cases like purchase of restricted stocks (which has little to do with corporate control or management). However, the traditional jurisprudence dose not go well with a situation with appraisal remedy. An appraisal remedy is processed where fundamental changes like mergers are adopted. In those proceedings, more uniform and consistent standard should be introduced. Like many other legislations in the US or Japan, the KCC should be revised that the dissenting shareholders would lose their titles once the fundamental change they are opposing comes into effect. In order to protect dissenting shareholders, though, the corporation should pay the amount what it thinks fair in advance.
Second, the deposit to the courts by buyers should be widely allowed. All four types of share purchase contract abovementioned are executed without an agreement on the price between the parties. What if the buyer’s estimation is $5 per share while seller’s is $8? It would be reasonable for buyer to give seller undisputed amount (i.e. $5) and to discuss over the remaining amount in court procedure. However, the Korean courts have denied the validity of so-called ‘partial deposit.’ Therefore, if the shareholder reject receiving $5 above, the corporation cannot make partial deposit (i.e. $5 deposit) to the courts, thereby facing the burden of high interest rate. The KCC should be reformed to adopt partial deposit.
Third, when introducing appraisal remedy to split-off under the KCC, the question arises about the scope of introduction – should the appraisal remedy be applicable to small-scale splits? Compared to other small-scale fundamental changes (e.g. short-form merger), one cannot find a reason to deny the concept of small-scale splits. In terms of split-off, the KCC should be revised that the appraisal remedy would be applicable as long as the size of business separated from split entity is quite sizable.
